Endorsement Contract

This Endorsement Contract is made between CashChat Ltd, 7 Dundasway, Gateshead, England (“Company”), and [Community Builder Name], [Community Builder Address] (“Community Builder”).
1. Recitals
Community Builder has achieved at least 100 Active Members on their CashChat Team by having each member scan the Community Builder’s unique QR code and subscribe to CashChat. The Company wishes to engage Community Builder as an official CashChat Community Builder and Endorser to promote the platform and grow the team.
2. Engagement
Community Builder shall act as an official CashChat Community Builder and Endorser, promote the CashChat platform, encourage QR-code scans and subscriptions, serve as a positive brand ambassador, and comply with Company policies and guidelines.
3. Qualification
Eligibility requires a verified minimum of 100 Active Members on the Community Builder’s CashChat Team. Active Member status is determined by the Company’s internal tracking systems.
4. Performance Target
Community Builder shall use best efforts to acquire 100,000 Active Members on their CashChat Team within 3 years from the Effective Date. Progress shall be measured by the Company’s internal tracking systems.
5. Compensation
Total Contract Value: $1,000,000 USD. Signing Fee: $1,000 USD upon execution.

Payments shall be made within 30 days of verification. Community Builder is responsible for any taxes, levies, or duties.
5A. Community Builder Wallet & Transaction Records
5A.1 Upon execution of this Contract, CashChat Ltd shall provide the Community Builder with a dedicated CashChat Wallet.
5A.2 Every single payment made to the Community Builder under this Contract — including the Signing Fee and all milestone payments — shall be deposited into this Wallet and recorded with a unique transaction ID.
5A.3 The Wallet transaction history shall serve as the authoritative record of all payments made by CashChat Ltd to the Community Builder. The Community Builder may access and export this record at any time.
5B. Guarantee of Total Payout
5B.1 CashChat Ltd unconditionally guarantees that a total payment of One Million United States Dollars ($1,000,000 USD) will have been paid out to the Community Builder by the time the last subscriber is acquired on the Community Builder’s CashChat Team, provided the Community Builder reaches the Target Milestone of 100,000 Active Members within the Performance Period.
5B.2 This guarantee means that the full Contract Value is secured and guaranteed to be paid in full upon completion of the Target Milestone, regardless of the payment schedule set forth in Section 5.3. The milestone schedule is a payment-timing mechanism only and does not reduce, cap, or condition the guaranteed total payout.
5C. Full Payout for Community Builders Unable to Complete Independently
5C.1 If a Community Builder is unable to achieve the Target Milestone of 100,000 Active Members on their own, through no fault of their own, CashChat Ltd shall process the full payout of the endorsement amount ($1,000,000 USD) to that Community Builder, subject to the terms of this Section.
5C.2 A Community Builder may request this provision by submitting a written request to CashChat Ltd, demonstrating a good-faith effort toward the Target Milestone and providing evidence of the circumstances preventing completion.
5C.3 CashChat Ltd shall review such requests on a case-by-case basis and, where approved, shall process the full remaining balance of the endorsement amount to the Community Builder’s Wallet, with a unique transaction ID recorded for each payment.
5C.4 This provision is designed to ensure that Community Builders who have made substantial efforts but are unable to complete the Target Milestone independently are not left without the full value of their endorsement contract.

6. Term
This Contract commences on the Effective Date and continues for 3 years unless terminated earlier.
7. Intellectual Property
Company grants Community Builder a limited, revocable license to use the CashChat name, logo, and trademarks solely to perform this Contract. All goodwill belongs to the Company.
8. Confidentiality
Community Builder shall protect Confidential Information and not disclose it for 5 years after termination or expiration.
9. Independent Contractor
Community Builder is an independent contractor, not an employee, agent, partner, or joint venturer. Community Builder is responsible for their own taxes, insurance, and obligations.
10. Termination
Either party may terminate for uncured material breach. Company may terminate immediately for failure to meet the target, fraud, deceptive practices, or reputational harm. Earned milestone payments remain payable.
11. Governing Law
This Contract is governed by the laws of England and Wales. Disputes shall first be negotiated in good faith and, if unresolved, submitted to binding arbitration in London, England.
